Overview (Plain English)
Welcome to TrulyServd. We run a website at trulyservd.com where home cooks can list homemade food and where buyers can discover those listings and place pre-orders. We are a discovery and listing platform only — we do not process payments, deliver food, or handle any part of the actual transaction between buyer and seller. Once you find a listing you like, you arrange the rest (payment, pickup, delivery, refunds, disputes) directly with the seller, off our platform. Because of that, our role is limited and so is our responsibility for what happens between you and the other person. These Terms explain what you can expect from us and what we expect from you. Please read them — they form a binding agreement.
1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "user") and 13809536 Canada Inc., a corporation incorporated under the laws of Canada and operating under the trade name "TrulyServd" ("TrulyServd", "we", "us", "our"). These Terms govern your access to and use of the website located at trulyservd.com, any associated subdomains, mobile applications, APIs, and related services (collectively, the "Service").
By creating an account, accessing the Service, browsing listings, submitting a listing, placing a pre-order through the Service, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and — if you list food on the platform — our Seller Agreement and Food Listing Guidelines, each of which is incorporated by reference.
If you do not agree to these Terms, you must not use the Service.
You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have the legal capacity to enter into a binding contract under the laws of your province, territory, state, or country of residence; (c) all information you provide to us is true, accurate, current, and complete; and (d) if you are using the Service on behalf of an entity (for example, a registered business), you have the authority to bind that entity to these Terms.
Plain English Summary: By signing up or using TrulyServd, you agree to these rules. You also agree to our Privacy Policy, Cookie Policy, and — if you sell — our Seller Agreement and Food Listing Guidelines. You must be at least 18 years old. If you do not agree with any of this, please do not use the Service.
2. Description of the Service
2.1 What TrulyServd Does
TrulyServd operates a listing and discovery marketplace for homemade food. Home cooks ("Sellers") may publish listings of food items they prepare. Visitors and registered users ("Buyers") may browse those listings, contact Sellers, and submit pre-orders or expressions of interest through the Service.
2.2 What TrulyServd Does NOT Do
TrulyServd does not process payments. We do not collect, hold, or transmit any payment from a Buyer to a Seller. We do not act as an escrow agent, merchant of record, payment processor, or financial intermediary. All payments, deliveries, pickups, refunds, returns, exchanges, food-safety incidents, and disputes are handled directly and exclusively between the Buyer and the Seller, off the platform.
TrulyServd is not a party to any transaction or agreement formed between a Buyer and a Seller. We do not:
- prepare, package, deliver, store, or inspect any food item;
- guarantee the quality, safety, allergen content, accuracy of description, freshness, weight, ingredients, or fitness for purpose of any listed food;
- guarantee that a Seller will honour a pre-order, deliver on time, deliver at all, or issue refunds;
- guarantee that a Buyer will pay, show up, or behave reasonably; or
- mediate, arbitrate, or resolve disputes between Buyers and Sellers.
2.3 Availability
We provide the Service on a "best efforts" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time. We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice, and we may impose limits on certain features or restrict access to parts or all of the Service.
2.4 Geography
The Service is currently intended for use in Canada. We make no representation that the Service is appropriate or available for use in any other jurisdiction. Users who access the Service from outside Canada do so at their own risk and are responsible for compliance with local laws.
Plain English Summary: TrulyServd is a place to list and find homemade food. We are a billboard, not a checkout counter. We do not handle money, cook the food, or deliver anything. Once you connect with someone, the rest of the transaction is entirely between the two of you. We try to keep the site running well, but we cannot promise 100% uptime.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to register an account or use the Service. Persons whose accounts have been previously suspended or terminated by TrulyServd may not register or use the Service without our prior written consent.
3.2 Account Registration
Certain features of the Service require you to register an account. When you register, you agree to:
- provide true, accurate, current, and complete information about yourself;
- maintain and promptly update that information so that it remains true, accurate, current, and complete;
- maintain the security and confidentiality of your account credentials (including any password);
- not share your account credentials with any third party;
- promptly notify us at [email protected] of any unauthorized use of your account or any other breach of security; and
- accept responsibility for all activities that occur under your account, whether or not authorized by you.
We are not liable for any loss or damage arising from your failure to comply with this section.
3.3 Seller Verification
Users who wish to list food on the platform must complete an additional verification process, which currently includes uploading:
- a valid government-issued photo identification document; and
- a valid food handler's certificate (or equivalent food-safety credential recognized in the Seller's jurisdiction).
Submission of these documents does not create any guarantee or representation by TrulyServd that a Seller is qualified, safe, or compliant with applicable laws. Verification is an administrative check and is not an endorsement, certification, or warranty by TrulyServd of the Seller, the Seller's food, or the Seller's premises.
Plain English Summary: You need to be 18+ and provide accurate info to sign up. Keep your password safe — anything that happens under your account is on you. If you want to sell, you also need to upload ID and a food handler's certificate. Verification means we checked the documents, not that we vouch for the cook.
4. Buyer Conduct
If you use the Service as a Buyer, you agree to:
- treat Sellers with courtesy and respect;
- communicate promptly and honestly about pre-orders, pickup or delivery arrangements, and any issues;
- pay Sellers, in full and on time, through the off-platform method you and the Seller agree on;
- not use the Service to harass, defame, threaten, or stalk a Seller;
- not place fraudulent, fake, or coercive pre-orders;
- not solicit Sellers to evade our platform, breach these Terms, or engage in unlawful activity;
- not request or pressure a Seller to prepare food in a manner that violates applicable food-safety law; and
- comply with all applicable laws when communicating with, paying, or otherwise dealing with a Seller.
You are solely responsible for inspecting any food you receive, asking the Seller about ingredients and allergens, and making your own judgment about whether to consume the food.
Plain English Summary: If you are buying, be a decent human: pay what you owe, show up when you say you will, ask about allergens, and do not harass anyone. You are responsible for deciding whether the food is safe for you to eat.
5. Seller Conduct
If you use the Service as a Seller, you agree to:
- comply with all applicable federal, provincial, territorial, and municipal laws governing the preparation, labelling, sale, and transport of food, including, in Ontario, the Food Safety and Quality Act, 2001 and Health Protection and Promotion Act and applicable regulations;
- maintain a current and valid food handler's certificate or equivalent credential;
- accurately describe each listing, including ingredients, known allergens, portion size, price, and pickup or delivery arrangements;
- not list food that you are not authorized to sell, that is unsafe, that has been recalled, or that violates applicable law;
- promptly fulfill or cancel pre-orders and communicate honestly with Buyers;
- not harass, defame, or discriminate against Buyers;
- not use the Service to launder funds, evade taxes, or facilitate any unlawful activity;
- handle, collect, and remit any applicable taxes (including HST/GST/PST as applicable) on transactions with Buyers; and
- comply with the Seller Agreement and the Food Listing Guidelines.
You acknowledge that you, and not TrulyServd, are the merchant of record for any sale arising from a listing. You are solely responsible for the food you prepare, sell, deliver, and otherwise provide.
Plain English Summary: If you are selling, you are running a real food business. Follow the law, keep your food handler's certificate current, describe your food honestly (especially allergens), be straight with your buyers, and pay your taxes. You are the seller — TrulyServd is not.
6. OFF-PLATFORM TRANSACTIONS — IMPORTANT DISCLAIMER
THIS SECTION IS IMPORTANT. PLEASE READ IT CAREFULLY.
TrulyServd is a listing and discovery service only. Any payment, exchange of food, delivery, pickup, refund, return, dispute, or other transaction-related activity between a Buyer and a Seller occurs off the platform and without TrulyServd's involvement.
By using the Service, you acknowledge and agree that:
(a) TrulyServd is not a party to any contract, transaction, or agreement formed between a Buyer and a Seller, whether arising from a listing, a pre-order, a message, or otherwise;
(b) TrulyServd does not handle payments. We do not process, hold, route, escrow, refund, or guarantee any payment of any kind. Any payment from a Buyer to a Seller is made entirely outside the Service, through whatever method the Buyer and Seller agree on, and is solely a matter between them;
(c) TrulyServd makes no warranty about Sellers, Buyers, or food. We do not warrant the identity, qualifications, food-safety practices, premises, hygiene, honesty, reliability, solvency, or background of any user. We do not warrant that any food listed or delivered through the Service is safe, fresh, accurately described, free of allergens or contaminants, or fit for any particular purpose;
(d) TrulyServd is not responsible for off-platform conduct. We have no liability for any loss, damage, injury, illness, allergic reaction, food-borne illness, financial loss, fraud, theft, non-delivery, late delivery, defective food, dispute, or other harm arising from or relating to: (i) any transaction between a Buyer and a Seller; (ii) any food prepared, delivered, or consumed; (iii) any payment or non-payment; (iv) any communication between users; or (v) any in-person meeting, pickup, or delivery. You release TrulyServd from any and all such claims;
(e) You assume the risk. Buyers assume all risk associated with consuming food obtained through the Service. Sellers assume all risk associated with preparing, storing, transporting, and delivering food and with collecting payment from Buyers; and
(f) Disputes are between users. If a dispute arises between a Buyer and a Seller — including over payment, food quality, food safety, allergens, late or missed delivery, refunds, or any other matter — the Buyer and Seller must resolve it directly between themselves. TrulyServd is under no obligation to mediate, arbitrate, refund, or otherwise become involved, although we may, at our sole discretion and without obligation, take action against an account that we believe has violated these Terms.
Plain English Summary: TrulyServd is not Uber Eats. We do not hold your money, deliver your food, or referee fights. Payment, delivery, and any problems that come up are entirely between the buyer and the seller. If something goes wrong with the food, the money, or the person on the other end, that is not on us. By using the platform, you accept that risk.
7. Listings, Photos, and Other User-Generated Content
7.1 Your Content
The Service allows users to submit content, including listings, food descriptions, photos, profile information, messages, and reviews ("User Content"). You retain ownership of all intellectual property rights in your User Content.
7.2 Licence to TrulyServd
By submitting User Content, you grant TrulyServd a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, modify (for formatting and display purposes), publish, publicly display, publicly perform, distribute, and otherwise use that User Content in connection with operating, providing, marketing, and improving the Service. This licence continues for as long as the User Content remains on the Service and for a reasonable period afterward to allow for backup retention, legal compliance, and dispute resolution.
7.3 Your Representations
You represent and warrant that:
- you own all rights in your User Content, or you have all necessary licences, consents, and permissions to grant the licence in section 7.2;
- your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party;
- your User Content is accurate and not misleading, including with respect to ingredients, allergens, price, and availability; and
- your User Content does not contain any unlawful, defamatory, harassing, hateful, sexually explicit, or otherwise objectionable material.
7.4 Removal
We may remove, edit, or refuse to publish any User Content at any time, with or without notice, for any reason or no reason, including if we believe the User Content violates these Terms, the Seller Agreement, the Food Listing Guidelines, or applicable law, or if we receive a complaint from a third party. Removal of User Content does not give rise to any right of compensation.
7.5 Notice of Claimed Infringement
If you believe that User Content on the Service infringes your copyright, trademark, or other intellectual property right, please contact us at [email protected] with: (a) identification of the protected work; (b) identification of the allegedly infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights-holder or authorized to act on the rights-holder's behalf; and (f) your physical or electronic signature.
Plain English Summary: You own what you post. You give us permission to display and use it to run the platform. Make sure you actually have the rights to what you post and that your descriptions are honest — especially about allergens. If we think a listing breaks the rules, we may take it down. If someone is using your work without permission, email us.
8. Prohibited Uses
You agree not to use the Service in any way that:
(a) violates any applicable federal, provincial, territorial, municipal, or foreign law, including food-safety laws, consumer-protection laws, anti-spam laws (including Canada's Anti-Spam Legislation, "CASL"), tax laws, and intellectual-property laws;
(b) lists, sells, offers, or solicits food that is unsafe, recalled, prohibited by law, or that you are not lawfully entitled to sell;
(c) misrepresents ingredients, allergens, source, preparation method, price, or any other material attribute of a listing;
(d) is fraudulent, deceptive, or misleading, or impersonates any person or entity;
(e) harasses, threatens, defames, stalks, or discriminates against any person on the basis of any protected ground;
(f) sends unsolicited commercial messages or otherwise violates CASL;
(g) introduces malware, viruses, worms, or any other harmful code;
(h) attempts to gain unauthorized access to the Service, other users' accounts, or any related systems or networks;
(i) scrapes, crawls, harvests, or otherwise extracts data from the Service except as expressly permitted by us in writing or by a published API;
(j) reverse engineers, decompiles, or attempts to derive the source code of the Service;
(k) uses the Service to develop, train, or improve a competing product, service, or model;
(l) circumvents or attempts to circumvent any technical measure intended to limit access to the Service or any feature of it;
(m) uses the Service to facilitate money laundering, tax evasion, or any other unlawful financial activity;
(n) uses the Service in a manner that could disable, overburden, damage, or impair it; or
(o) attempts to bypass these Terms, the Seller Agreement, the Food Listing Guidelines, or any other policy.
Plain English Summary: Do not lie about your food. Do not break the law. Do not spam, hack, scrape, harass, or use TrulyServd to build a copy of TrulyServd. Common sense.
9. Suspension and Termination
9.1 Our Rights
We may, at our sole discretion and at any time, with or without notice or liability:
- suspend, restrict, or terminate your account;
- remove or refuse to publish any listing or User Content;
- limit your access to all or part of the Service; and
- refuse to do business with you in the future,
if we have reason to believe that you have violated these Terms, the Seller Agreement, the Food Listing Guidelines, our Privacy Policy, or applicable law, or if we determine, in our sole discretion, that your conduct creates risk or possible legal exposure for TrulyServd, other users, or any third party.
We may also suspend or terminate the Service or any feature of the Service at any time.
9.2 Your Rights
You may stop using the Service and close your account at any time by following the account-closure instructions in your account settings or by contacting us at [email protected]. Closing your account does not relieve you of any obligation that has accrued before closure.
9.3 Effect of Termination
Upon termination of your account or these Terms:
- your right to access and use the Service ceases immediately;
- listings you have published may be removed;
- we may retain certain information as required by law, for backup, audit, fraud prevention, dispute resolution, or to enforce these Terms, in accordance with our Privacy Policy; and
- the following sections survive termination: 1 (Acceptance), 5 (Seller Conduct, with respect to past sales), 6 (Off-Platform Disclaimer), 7.2 and 7.3 (Licences and Representations), 10 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Governing Law and Disputes), 15 (Changes), 16 (General), and 17 (Contact).
Plain English Summary: We can suspend or close your account if you break the rules or put us, our users, or anyone else at risk. You can close your account any time. Some parts of these Terms (like our liability limits and the off-platform disclaimer) keep applying even after you leave.
10. Intellectual Property
The Service, including all software, text, graphics, logos, designs, layouts, the "TrulyServd" name and brand, and all related intellectual property, is owned by TrulyServd or its licensors and is protected by Canadian and international copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or any part of it, except as expressly permitted by these Terms or by applicable law that cannot be contracted out of.
You may not use the "TrulyServd" name, logo, or any other TrulyServd trademark without our prior written consent.
Plain English Summary: We own the platform, the brand, and the code behind it. You may use the platform, but you may not copy it, resell it, or pretend to be us.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRULYSERVD DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, TRULYSERVD MAKES NO WARRANTY OR REPRESENTATION THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS;
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- ANY USER, LISTING, OR FOOD ACCESSED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, SAFE, FRESH, OR FIT FOR ANY PARTICULAR PURPOSE; OR
- ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE SERVICE AND FOR ANY DECISION TO TRANSACT WITH ANY OTHER USER. ANY FOOD CONSUMED, PURCHASED, OR PROVIDED THROUGH THE SERVICE IS DONE SO AT YOUR OWN RISK.
Force Majeure. TrulyServd is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, pandemic, epidemic, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, power outages, or failures of upstream service providers.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any such exclusion is not permitted, the warranties in question are limited to the minimum extent permitted by law.
Plain English Summary: We provide TrulyServd as-is. We do not promise the site will always work, that listings are accurate, or that the food is safe. You use the Service at your own risk, and you eat the food at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) TRULYSERVD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF TRULYSERVD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
(b) WITHOUT LIMITING THE FOREGOING, TRULYSERVD WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATING TO ANY OFF-PLATFORM TRANSACTION OR INTERACTION BETWEEN A BUYER AND A SELLER, INCLUDING ANY ILLNESS, INJURY, ALLERGIC REACTION, FOOD-BORNE ILLNESS, FRAUD, THEFT, NON-DELIVERY, LATE DELIVERY, DEFECTIVE FOOD, OR PAYMENT DISPUTE; AND
(c) IN NO EVENT WILL TRULYSERVD'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). YOU AND TRULYSERVD EXPRESSLY ACKNOWLEDGE THAT THIS CAP REFLECTS THE FACT THAT TRULYSERVD DOES NOT COLLECT OR HOLD ANY PAYMENT FROM USERS AND IS NOT A PARTY TO ANY OFF-PLATFORM TRANSACTION.
The limitations in this section apply whether or not TrulyServd has been advised of the possibility of such damages and even if a remedy fails of its essential purpose. They apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the limitation of certain damages; if such a law applies to you, some or all of the limitations above may not apply, and our liability will be limited to the minimum extent permitted by law.
Plain English Summary: If something goes wrong, the most we will ever owe you is CAD $100 — total. We do not pay for indirect losses (like lost business or wasted time), and we do not pay for problems caused by another user, including food poisoning or anyone refusing to pay. This cap is set low because we never take any of your money in the first place.
13. Indemnification
You agree to defend, indemnify, and hold harmless TrulyServd and its directors, officers, employees, agents, contractors, licensors, and suppliers from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) your access to or use of the Service;
(b) your User Content;
(c) any food you list, prepare, deliver, sell, purchase, or consume through or in connection with the Service;
(d) any transaction, payment, or interaction between you and another user, including any off-platform transaction;
(e) your breach of these Terms, the Seller Agreement, the Food Listing Guidelines, or our Privacy Policy;
(f) your violation of any law or regulation; or
(g) your violation of the rights of any third party, including any intellectual property, privacy, publicity, or contractual right.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defences. You will not settle any claim without our prior written consent.
Plain English Summary: If you cause a legal problem — for example, by selling food that makes someone sick, posting something that infringes a copyright, or breaking the law — and TrulyServd gets dragged into it, you agree to cover our costs and legal fees.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
14.2 Informal Resolution First
Before filing any claim against the other, you and TrulyServd agree to try to resolve the dispute informally. You agree to send a written notice describing the dispute to [email protected] (with the subject line "Dispute Notice"), including your name, contact information, account email, a description of the issue, and the relief you are seeking. We agree to do the same by sending a notice to the email address associated with your account. The parties will negotiate in good faith for at least thirty (30) days after the notice is received before commencing any formal proceedings.
14.3 Courts of Ontario
Subject to section 14.2, you and TrulyServd agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts of the Province of Ontario sitting in the City of Toronto, and you and TrulyServd irrevocably attorn to the exclusive jurisdiction of those courts. Each party waives any objection to venue in those courts and any defence of inconvenient forum.
Nothing in this section prevents either party from seeking interim or injunctive relief in any court of competent jurisdiction.
14.4 Time Limit
Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, except where a longer period is required by applicable law that cannot be contracted out of.
14.5 Consumer Rights
Nothing in this section limits any non-waivable right you may have as a consumer under the Consumer Protection Act, 2002 (Ontario) or other applicable consumer-protection legislation.
Plain English Summary: Ontario law applies. If you have a problem with us, email us first and give us 30 days to try to fix it. If we still can't agree, the courts of Ontario in Toronto are where it gets sorted out. You have one year to bring a claim. Nothing here takes away rights you have under Ontario consumer law.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on the Service and update the "Last Updated" date at the top. 16. General Provisions

These Terms, together with the Privacy Policy, Cookie Policy, Seller Agreement, and Food Listing Guidelines, constitute the entire agreement between you and TrulyServd regarding the Service and supersede all prior agreements, communications, and proposals, whether oral or written.
16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed from these Terms, and the remaining provisions will remain in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of TrulyServd.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms in whole or in part, without notice, to any affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
16.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and TrulyServd. Neither party has authority to bind the other.
16.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except as expressly stated.
16.7 Headings
Headings are for convenience only and do not affect the interpretation of these Terms.
16.8 Electronic Communications
You consent to receive communications from us electronically, including by email and through the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
16.9 Language

16.10 Currency
All references to dollar amounts in these Terms are to Canadian dollars (CAD) unless otherwise expressly stated.
